Terms of Service

These are the terms that govern Finappses. We've kept them as plain as a legal document allows, and each section opens with a one-line summary. The summaries are for readability; the full text is what's binding.

1The agreement

In shortUsing Finappses means you accept these terms.

These Terms of Service ("Terms") are an agreement between you and Chazbit LLC, doing business as Finappses ("Finappses," "we," "us"), and govern your use of the Finappses web application, its REST API, and the finappses.com website (together, the "Service"). By creating an account, starting a trial, purchasing a plan, or otherwise using the Service, you agree to these Terms. If you're using Finappses on behalf of a business, you're agreeing on that business's behalf and confirming you have the authority to do so.

2The service

In shortFinappses is double-entry bookkeeping software. Today it's a web app; roadmap items ship when they're ready.

Finappses is double-entry bookkeeping software for individuals and small businesses: journal entries, a chart of accounts, invoicing, bank-transaction import and reconciliation, financial reports, and a REST API. The Service is currently delivered as a web application.

We talk openly about our roadmap — a native desktop app and self-hosting are planned. Roadmap items are intentions, not promises: they ship when they're ready, and buying a plan today buys the Service as it exists today. Where we've said an existing license will cover a future delivery method (for example, the desktop app), we'll honor that when it ships.

3Accounts & eligibility

In shortYou need a real email address, you must be an adult, and your account is yours to safeguard.

Finappses uses passwordless sign-in: we email a magic link to the address on your account. That means your email account effectively is your key. You're responsible for keeping access to that email address secure, and for everything that happens under your Finappses account. Tell us promptly at support@finappses.com if you believe your account has been accessed without authorization.

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract to use the Service. You agree to provide accurate account information and keep it current.

4Free trial

In short14 days, every feature, no card. When it ends, your data waits for you — it doesn't vanish.

New accounts get a 14-day free trial with every feature unlocked. No payment method is required to start. When the trial ends, the Service becomes read-only until you purchase a plan; your data is retained and remains exportable as described in Section 8. We may adjust the terms of the trial for future signups, but not for a trial already in progress.

5Plans, billing & payment

In shortLemonSqueezy is the merchant of record. Annual renews yearly until you cancel; Lifetime is one payment.

Paid plans are sold through LemonSqueezy, LLC, our merchant of record. LemonSqueezy processes your payment, handles applicable sales tax and VAT, and emails you a license key on purchase. Your payment details go to LemonSqueezy, not to us. LemonSqueezy's own terms apply to the checkout transaction.

Two plans are offered:

Annual — a yearly subscription (currently $39/year) that renews automatically each year until you cancel. You can cancel any time via the LemonSqueezy customer portal linked in your receipt email, or by contacting us; cancellation stops future renewals and your plan runs through the end of the period you've paid for.

Lifetime — a one-time payment (currently $99) for a perpetual license to the Service, including updates, for as long as Finappses operates. "Lifetime" refers to the life of the product, not yours or ours — see Section 15 for what happens if the Service is ever discontinued.

Prices are stated on the pricing page at the time of purchase and may change for future purchases and renewals. If an Annual renewal price increases, we'll notify you by email before the renewal that applies it. Neither plan is priced per seat or metered by usage within fair use (Section 9).

6Refunds

In short14 days, no hard feelings.

Every purchase — Annual or Lifetime — comes with a 14-day refund window. If Finappses isn't for you, email support@finappses.com within 14 days of purchase and we'll refund you in full through LemonSqueezy. No questionnaire, no retention flow. Refunds after the 14-day window, including for partially used subscription periods, are at our discretion. Since the free trial requires no payment, we encourage you to use it before buying.

7Your license

In shortYour license key activates your account. It's for you (or your business) — don't share or resell it.

On purchase, LemonSqueezy emails you a license key which you activate inside the app. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable license to use the Service for your own bookkeeping or that of the business you represent. A license covers one account and the books managed within it; it does not permit sharing keys, reselling access, or operating the Service as a bureau for third parties without our written agreement. We may revoke keys obtained fraudulently or in breach of these Terms.

8Your data

In shortYour books are yours. Export everything, any time. No hostage situations.

Everything you record in Finappses — accounts, journal entries, invoices, imported transactions, attachments — is your data. You own it. You grant us only the limited rights needed to host, process, back up, and display it to you in order to operate the Service.

You can export your complete ledger as structured files at any time, including during the trial, after the trial ends, and after cancellation. We do not sell your data or use your financial records for advertising. Our handling of personal information is described in the Privacy Policy.

You're responsible for the accuracy and lawfulness of the data you enter, including having the right to upload any documents you attach.

9Acceptable use

In shortKeep books, not schemes. Don't attack the service or abuse the API.

You agree not to:

use the Service for unlawful purposes, including laundering money or concealing the proceeds of crime; attempt to gain unauthorized access to the Service, other accounts, or our infrastructure; probe, scan, or test vulnerabilities without written permission; interfere with the Service's operation, including by circumventing rate limits or placing unreasonable load on it; scrape or copy the Service other than through your own account and the API; sublicense, resell, or provide the Service to third parties as a service bureau; or misrepresent your identity or affiliation.

"Fair use" of an unmetered plan means usage consistent with bookkeeping for one person or business. We'll contact you before acting on a fair-use concern except where immediate action is needed to protect the Service.

10API terms

In shortThe API is included. Keep your keys secret, respect rate limits, and pin nothing to undocumented behavior.

Every paid plan and trial includes access to the Finappses REST API for use with your own account's data. API keys are secrets: don't embed them in client-side code or share them. You're responsible for calls made with your keys. We apply reasonable rate limits and may adjust them to protect the Service.

We version the API and aim to avoid breaking changes; where a breaking change is necessary, we'll provide notice through the documentation or by email before retiring documented behavior, except where security requires faster action. Undocumented endpoints and fields may change without notice.

11Third-party services

In shortInvoice payments run through your own Stripe account. Bank feeds run through Plaid. Their terms apply to their parts.

Some features connect to third-party services, and your use of those features is also subject to the third party's terms:

Stripe. Online invoice payments are processed through your own Stripe account under Stripe's agreement with you. Funds from your customers settle to your Stripe account — Finappses never holds, transmits, or controls your funds, and we are not a money transmitter or payment processor. Disputes, chargebacks, and payout timing are between you, your customer, and Stripe.

Plaid. Bank-transaction import uses Plaid to connect to your financial institutions, subject to Plaid's end-user privacy policy. You can also import via OFX/QBO or CSV files without any bank connection.

LemonSqueezy. Checkout, tax handling, and license delivery, as described in Section 5.

We choose our providers carefully, but we're not responsible for third-party services we don't control.

12Not professional advice

In shortFinappses is software, not your accountant.

Finappses enforces the mechanics of double-entry bookkeeping — an entry must balance before it posts — but it does not and cannot verify that your entries are correct for your situation. Nothing in the Service, its documentation, its default chart of accounts, or its reports constitutes accounting, tax, legal, or financial advice. You're responsible for the substance of your books, for your tax filings, and for complying with the accounting standards that apply to you. When it matters, engage a qualified accountant. They'll appreciate the clean ledger.

13Availability & support

In shortWe run it carefully and back it up, but this is an indie product, not a five-nines SLA. Export regularly.

We work to keep the Service available and performant, and we maintain automatic backups of application data. However, the Service is provided without an uptime guarantee or service-level agreement, and may be briefly unavailable for maintenance, upgrades, or reasons outside our control. Backups are a safety net for us to operate the Service, not an archival service for you — we encourage you to export your ledger periodically, which the Service makes easy.

Support is provided by email at support@finappses.com. We answer as quickly as a small, focused team can, prioritizing paying customers and anything data-integrity related.

14Intellectual property

In shortYou own your data; we own the software.

The Service — its software, design, documentation, and branding — is owned by Finappses and protected by intellectual-property law. These Terms grant you a license to use it, not ownership of it. You may not copy, modify, create derivative works of, or reverse engineer the Service except to the extent a law that applies to you expressly permits it despite this restriction. Feedback you send us may be used to improve the Service without obligation to you.

15Termination

In shortLeave whenever you like with your data. If we ever shut down, you'll get notice and an export window first.

By you. You can stop using the Service and delete your account at any time. Deleting your account removes your data as described in the Privacy Policy; export first.

By us. We may suspend or terminate your access if you materially breach these Terms and, where the breach is curable, don't fix it within 14 days of our notice. We may suspend immediately where necessary to protect the Service or comply with law. Except in cases of serious abuse, we'll provide a reasonable window to export your data.

If the Service is discontinued. If we ever wind down Finappses, we'll give at least 90 days' notice and keep exports available through that period. Lifetime license holders will receive the then-current planned self-hosted or desktop build if one exists at that time. We can't promise more than that, and we're building so it never comes to this.

Sections that by their nature should survive termination — including 8, 12, and 14 through 20 — survive it.

16Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL NEVER BE LOST. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

17Limitation of liability

In shortOur liability is capped at what you paid us in the last 12 months.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FINAPPSES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND (B) FIFTY US DOLLARS. THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.

18Indemnification

In shortIf your misuse of the service gets us sued, that's on you.

You agree to defend, indemnify, and hold harmless Finappses from claims, damages, and reasonable legal fees arising from your data, your use of the Service in violation of these Terms, or your violation of law or third-party rights — provided we notify you promptly of the claim and don't settle it without your consent (not to be unreasonably withheld).

19Changes to these terms

In shortIf we change something that matters, you'll get an email before it takes effect.

We may update these Terms as the Service evolves. For material changes, we'll email the address on your account at least 14 days before the change takes effect and update the effective date above. Continuing to use the Service after a change takes effect means you accept it; if you don't, stop using the Service and, if you're within a refund window or a prepaid period materially affected by the change, contact us and we'll make it right.

20Governing law

In shortKentucky law, Kentucky courts — after we've genuinely tried to work it out.

These Terms are governed by the laws of the Commonwealth of Kentucky, USA, without regard to conflict-of-law rules. Before filing any claim, you agree to contact us and give us 30 days to try to resolve it informally — most things are a conversation, not a case. Claims that can't be resolved informally will be brought exclusively in the state or federal courts located in Jefferson County, Kentucky, and both parties consent to their jurisdiction. Nothing in this section limits consumer rights that the law of your home jurisdiction grants you and does not allow you to waive.
